Terms of Service

1. Acceptance of Terms

These Terms of Service govern your access to and use of Deskmate, including the desktop application, websites, hosted services, authentication pages, checkout flows, update feeds, account tools, creator tools, marketplace features, digital avatars, provider relay systems, storage systems, and related services. By accessing, installing, creating an account, purchasing through, uploading content to, or otherwise using Deskmate, you agree to these Terms and our Privacy Policy.

If you do not agree, do not access, install, purchase, upload content to, or use Deskmate. If you use Deskmate on behalf of a company, client, employer, studio, or other organization, you represent that you have authority to bind that party.

2. The Service

Deskmate is a desktop companion application with voice features, optional screen-aware features, digital avatars, account tools, paid plans, purchases, creator tools, marketplace features, hosted services, and integrations with third-party providers. Some features may be experimental, region-limited, provider- dependent, quota-limited, or available only with an active plan.

Deskmate is not a safety-critical system, emergency service, professional advisor, compliance tool, medical device, financial advisor, legal advisor, security product, or substitute for human judgment. You are responsible for deciding whether and how to use Deskmate and any output it produces.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your login credentials, payment credentials, provider keys, device access, and account sessions. You are responsible for all activity under your account or through your device.

You may not bypass, probe, disable, overload, evade, or interfere with authentication, authorization, plan limits, provider limits, payment flows, rate limits, creator approvals, operations tools, moderation controls, update checks, app integrity checks, or technical protection measures.

4. License and Ownership

Subject to your compliance with these Terms, Deskmate grants you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license to install and use the desktop application for its intended end-user purpose. No ownership right is transferred to you.

Deskmate and its licensors retain all rights in the software, source code, object code, binaries, designs, default avatars, trade dress, workflows, user interfaces, service architecture, catalogs, pricing logic, release metadata, update feeds, non-public APIs, documentation, names, logos, marks, and goodwill.

5. Anti-Copycat Restrictions

Except as expressly allowed, you may not copy, clone, reproduce, scrape, harvest, index, cache, resell, rent, sublicense, distribute, host, white-label, rebrand, modify, reverse engineer, decompile, disassemble, circumvent, or create derivative works from Deskmate or any part of it.

You may not use Deskmate, Deskmate content, default avatar designs, screenshots, service flows, catalog information, marketplace structure, update feed format, product logic, provider relay behavior, authentication flow, pricing flow, creator workflow, operations workflow, or non-public information to build, train, benchmark, market, ship, improve, or support a competing product or substantially similar service.

6. Voice, Screen Awareness, and Sensitive Information

Deskmate may process audio, text, prompts, selected context, screen content, screen-derived information, avatar data, account data, purchase data, device data, diagnostics, usage events, provider routing information, and related data as needed to provide, secure, bill, troubleshoot, improve, and support the service.

Microphone, live audio, screen sharing, screen awareness, and similar features may capture or derive information from your device, applications, tabs, windows, conversations, visible text, files, meetings, notifications, media, credentials, or documents. You are responsible for controlling what is visible, audible, shared, typed, uploaded, or transmitted while using Deskmate.

7. AI Output and Safety

Deskmate may integrate with artificial intelligence systems and third-party providers. AI systems may produce inaccurate, incomplete, fabricated, biased, offensive, unsafe, infringing, non-compliant, outdated, or otherwise unsuitable output. AI output may appear confident while being wrong.

You are solely responsible for reviewing, validating, editing, filtering, and deciding whether to rely on or distribute any output. You may not use Deskmate to request, generate, encourage, instruct, facilitate, coordinate, conceal, or distribute unlawful, harmful, abusive, exploitative, deceptive, or dangerous content or conduct.

8. Provider Keys and Third-Party Services

Some features may use provider keys that you supply. Other features may use Deskmate-managed provider access through an active plan. If you supply provider keys, you are responsible for those accounts, keys, costs, quotas, rate limits, logging, retention, safety filters, provider policies, provider terms, provider outages, provider billing, and provider-side data processing.

Deskmate may depend on third-party identity providers, payment processors, AI providers, hosting providers, email providers, storage providers, diagnostics tools, browser components, operating systems, card issuers, and network providers. Third-party services are governed by their own terms and policies.

9. Payments, Subscriptions, and Refunds

Paid subscriptions, top-ups, avatar purchases, creator payouts, and related transactions may be processed by Stripe or other payment providers. You authorize Deskmate and its payment processors to charge the payment methods you provide for applicable fees, taxes, renewals, usage, purchases, and adjustments.

Prices, currencies, taxes, checkout availability, payment methods, trial terms, renewal terms, receipts, invoices, failed payment handling, chargebacks, refunds, and payout timing may vary by region, product, provider, and account status. Subscriptions may renew automatically until canceled.

10. Marketplace and Creator Content

If you upload, submit, publish, list, sell, name, describe, price, categorize, or otherwise provide avatar or creator content, you represent that you own or have all rights, licenses, permissions, consents, waivers, and clearances required to provide that content to Deskmate and to allow Deskmate and users to host, process, store, review, display, copy, modify for technical compatibility, market, distribute, sell, purchase, download, install, and use it.

You may not upload, submit, list, sell, or distribute content that infringes or violates copyright, trademark, trade dress, patent, moral rights, publicity rights, privacy rights, contract rights, trade secrets, confidentiality obligations, platform rules, or other rights. You may not submit content that copies another creator, uses protected characters or franchises, imitates distinctive third-party styles in a misleading way, uses unauthorized brands, impersonates another person or entity, contains malware, or is unlawful, deceptive, abusive, exploitative, unsafe, or likely to expose Deskmate to claims.

Deskmate may reject, delay, review, remove, hide, disable, edit, relabel, delist, demonetize, refund, withhold payout, suspend, or terminate creator content, listings, purchases, payouts, or creator access at its discretion.

11. User Content and Feedback

You retain whatever rights you have in content you submit, subject to the permissions granted in these Terms. You grant Deskmate a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, process, transmit, display, reproduce, adapt, store, analyze, moderate, remove, and use your content as necessary to provide, secure, operate, improve, support, enforce, and promote Deskmate.

If you provide suggestions, ideas, bug reports, feature requests, designs, names, workflows, prompts, concepts, or other feedback, you grant Deskmate the right to use, modify, commercialize, and incorporate that feedback without notice, attribution, payment, or obligation.

12. Acceptable Use

You may not misuse Deskmate. Prohibited conduct includes attacking, probing, scanning, scraping, crawling, credential stuffing, bypassing access controls, exploiting bugs, tampering with update feeds, modifying installers to mislead users, introducing malware, using stolen payment methods, falsifying identity, abusing creator tools, manipulating purchases, evading moderation, harassing users, violating privacy, violating provider rules, violating law, or using Deskmate in a way that could harm Deskmate, users, creators, payment providers, third-party providers, or the public.

13. Updates and Local Device Effects

Deskmate may check for, download, and install updates. Updates may add, modify, remove, disable, or replace features; change compatibility; modify service behavior; update legal notices; patch security issues; alter provider integrations; or change marketplace behavior.

Installing or using Deskmate may create local files, shortcuts, logs, caches, configuration data, stored sessions, update data, app data, and other local state. Uninstalling Deskmate may not remove all account data, cloud data, payment records, creator records, transaction records, logs, backup data, or local settings unless specifically stated or required by law.

14. Suspension and Termination

Deskmate may suspend, restrict, or terminate access; disable accounts; remove or hide content; refuse transactions; withhold payouts; revoke creator privileges; disable features; preserve records; block devices; or take other action when Deskmate believes it is necessary or appropriate to enforce these Terms, comply with law, prevent harm, reduce risk, investigate abuse, protect users, protect creators, protect intellectual property, protect payment systems, or maintain security and operations.

15. Disclaimers

Deskmate is provided "as is," "as available," and "with all faults." To the maximum extent permitted by law, Deskmate disclaims all warranties, representations, and conditions, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, privacy, compatibility, and error-free or uninterrupted operation.

16. Limitation of Liability

To the maximum extent permitted by law, Deskmate will not be liable for indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages; lost profits; lost revenue; lost data; loss of goodwill; business interruption; reputational harm; computer failure; unauthorized access; payment failure; provider failure; AI output; user content; creator content; marketplace disputes; copyright claims; privacy claims; or third-party conduct.

To the maximum extent permitted by law, Deskmate's total liability for any claim arising out of or relating to Deskmate, the services, these Terms, AI output, marketplace content, creator content, payments, providers, or your use of the product will not exceed the amount you paid directly to Deskmate for the specific product or service giving rise to the claim during the three months before the event giving rise to liability, or USD 50 if you paid nothing.

17. Indemnity

You agree to defend, indemnify, and hold harmless Deskmate, its operators, affiliates, service providers, payment providers, licensors, contractors, creators, officers, directors, employees, agents, successors, and assigns from claims, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses arising from your content, creator content, prompts, uploads, purchases, sales, payouts, provider keys, misuse, violation of law, violation of these Terms, infringement, privacy violation, marketplace dispute, chargeback, tax issue, or use of Deskmate with information you were not authorized to process.

18. Changes

Deskmate may update these Terms from time to time. Updated Terms may be shown in the application, on a website, during installation, during update, in checkout, in account areas, or by another reasonable method. Continued installation, access, purchase, upload, sale, or use after the updated Terms become effective means you accept the updated Terms.
